The parties hereto agree to the terms and conditions of this Agreement as of the date the client engages in the use of property management services provided by Blackbird Property Management ("the company")
1. Definitions
1.1 "Agreement" refers to these Terms and Conditions.
1.2 "Client" refers to any individual, entity, or organization engaging Blackbird Property Management for property management services.
1.3 "Company" refers to Blackbird Property Management, including its employees, agents, and subcontractors.
1.4 "Property" refers to any real estate, including residential, commercial, and industrial properties, managed by the Company on behalf of the Client.
2. Services Provided
2.1 The Company agrees to provide property management services, including but not limited to, rent collection, property maintenance, tenant management, lease administration, and financial reporting. (See Property Management Agreement.)
2.2 The scope of services shall be detailed in a separate Service Agreement executed between the Company and the Client.
3. Fees and Payment
3.1 The Client agrees to pay the Company fees for services rendered as specified in the Service Agreement.
3.2 All fees are due and payable upon receipt of the invoice, unless otherwise stated in the Service Agreement.
3.3 Late payments shall incur interest at a rate of [specified rate within management agreement] per month.
4. Term and Termination
4.1 This Agreement shall commence on the effective date specified in the Service Agreement and shall continue until terminated by either party in accordance with this Agreement.
4.2 Either party may terminate this Agreement by providing [specified number] days written notice to the other party.
4.3 The Company may terminate this Agreement immediately if the Client breaches any term of this Agreement and fails to remedy the breach within [specified number] days of receiving notice of the breach.
5. Client Responsibilities
5.1 The Client agrees to provide the Company with all necessary information, access, and authorizations required to perform the services.
5.2 The Client shall ensure that the Property complies with all applicable laws, regulations, and codes.
5.3 The Client shall maintain appropriate insurance coverage for the Property.
6. Liability and Indemnification
6.1 The Company shall not be liable for any loss, damage, or injury arising from the performance of the services, except in cases of gross negligence or willful misconduct.
6.2 The Client agrees to indemnify and hold harmless the Company from and against any and all claims, liabilities, damages, and expenses arising from the Client’s breach of this Agreement or the Client’s ownership or operation of the Property.
7. Confidentiality
7.1 Both parties agree to maintain the confidentiality of all confidential information disclosed during the term of this Agreement.
7.2 Confidential information shall not include information that is publicly available or already known to the receiving party at the time of disclosure.
8. Dispute Resolution
8.1 Any disputes arising out of or relating to this Agreement shall be resolved through good faith negotiations between the parties.
8.2 If the parties are unable to resolve the dispute through negotiations, the dispute shall be submitted to mediation in accordance with the rules of [specified mediation service].
8.3 If mediation fails to resolve the dispute, the parties agree to submit to binding arbitration in accordance with the rules of [specified arbitration service].
9. Governing Law
9.1 This Agreement shall be governed by and construed in accordance with the laws of the State of [specified state].
9.2 Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts of [specified jurisdiction].
10. Miscellaneous
10.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.
10.2 Any amendments or modifications to this Agreement must be in writing and signed by both parties.
10.3 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
10.4 The failure of either party to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
11. Notices
11.1 Any notices required or permitted under this Agreement shall be in writing and delivered to the addresses specified in the Service Agreement.
11.2 Notices shall be deemed delivered upon receipt if delivered personally, or three days after being sent by certified mail, return receipt requested.
